Terms of Service
1. Who we are
Zollo Social Shopping Ltd. (hereinafter: “OurCart”, “The Company”, “We”) is an Israeli based Company that provides receipt capture, analyzing and processing services under the OurCart brand name. We develop and operate the Chop website: (hereinafter: “the Website”).
This Agreement ("Agreement") governs your use, as a User, of the Chop solution powered by Ourcart Receipt (the "Service").
The Service is provided by Ourcart in conjunction with brands with which it has engaged, as a service to such brands and their end-users, such as yourself, and allows you to enjoy the potential benefits and rebates offered by the Brands, as enabled by the Service.
3. The Service
3.1. The Service includes the scanning of an Awardable Receipt and its submission to the applicable brands that have engaged Ourcart to provide the Service (the “Brands”), in return for certain potential benefits and/or rebates provided by the Brands from time to time, as detailed in offers made public or offered on the landing page of the Brands (the “Offers”).
3.2 Rebates or benefits provided by Brands shall be for specific amounts and/or items, for specific participating products (i.e., not necessarily all products of a Brand), or redeemable at a specific retailer or a specific location, all as detailed in the Offer. Please refer to the relevant Offer for details of your eligibility for benefits or rebates, and the limitations and conditions relating to such eligibility.
3.3 The benefits and rebates can only be redeemed in the specific locations listed in the Offer, or in accordance with the Brand’s policies (e.g., a User receiving a rebate for an Awardable Receipt from a Brand in Canada may not be able to redeem it in a different country).
3.4 Ourcart shall only be responsible for submitting the information obtained from the Awardable Receipts to the Brands and shall have no responsibility for providing any of the benefits or rebates or otherwise complying with the Offers, which shall at all times remain the sole responsibility of the Brands.
3.5 OurCart shall have the right to change the terms of the Service and/or to cease providing the Service, with respect to one or more (or all) of the Brands, at its sole discretion. You are hereby requested and encouraged to review these Terms of Services from time to time in order to be acquainted with any changes hereto.
3.6 The supply of the Service under this Agreement shall be made through OurCart’s cloud-based platform, and shall be subject to the integration of OurCart's systems with the Brands.
3.7 OurCart reserves the right to use third party service providers in connection with the Service.
4. User Representations
By using the Service you represent and warrant to Ourcart that:
4.1 You have the power to undertake and perform this Agreement, and that you will not use the Services in connection with any illegal or fraudulent activities.
4.2 All receipts uploaded by you to the Service shall be your own and shall not fraudulently obtained from others, modified or otherwise manipulated in order to obtain unwarranted benefits or rebates.
4.3 All information provided by you in connection with Service shall be complete and accurate.
4.4 You shall observe all applicable laws, statutes, regulations and directions.
4.5 You shall use the Service solely for yourself (and not for any other person or entity).
5. Basic Requirements
In order to use the Service and enjoy its potential benefits you must meet the minimum requirements set forth below:
5.1 You must have regular access to a cellular smartphone or computer;
5.2 You must have a valid Paypal or Amazon account in your name;
5.4 You must use the same email, mobile phone and password with which you sign up for an Offer when redeeming a rebate or benefit received in connection with such Offer;
5.5 In order to become eligible to any benefits or rebates you must upload Awardable Receipts;
5.6 You must use a browser supported by the Service. Currently, the Service supports only the Chrome browser.
6. Awardable Receipts
An Awardable Receipt is a receipt that meets all of the following criteria:
It is not older than 14 days;
The following details must be visible when uploading a receipt: date, purchase time, name of the store and total amount paid;
It must contain visible details of at least one participating product (as detailed in the Offer), including its price and product name or identification;
The uploaded image must be in one of the following digital formats: PNG, JPG. Other formats (e.g., PDF or GIF) will not be acceptable;
The uploaded image must be clear, readable, not blurry, out of focus, crumpled or wrinkled;
The image must not have anything written on it, including any highlights or other markings;
The image of the receipt must be captured from a close distance (not more than 25 centimetres/10 inches). In the event the receipt is too long, you may upload up to 4 images of a single receipt.
A receipt previously uploaded to the Service shall cease to be an Awardable Receipt.
7. Other Limitations
Notwithstanding any other provision in these Terms of Service, the following restrictions shall apply:
A receipt may not be uploaded to the Service more than once (whether or not you receive a benefit or rebate in connection with such receipt);
A certain receipt may not be uploaded in different accounts;
You may only participate once in each Offer;
There is a limit of one rebate per Offer per household;
Any intentional act intended to enable the use of a receipt which is not eligible to be an Awardable Receipt, or which is otherwise intended to circumvent any of the restrictions or limitations contained herein or in an Offer, with the intent of receiving a benefit or rebate for which you would otherwise not be entitled, may be deemed a fraudulent activity and Ourcart may at its sole discretion revoke your eligibility or entitlement to receive the Service, for a limited period of time or without limitation.
8. Intellectual Property
All copyright, trademark, trade secret and other intellectual property rights in the Service or OurCart's systems shall remain at all times the sole and exclusive property of OurCart.
You acknowledge and agree that any and all intellectual property rights of all types or nature whatsoever, including, without limitation, patent, copyright, design rights, database rights, applications for any of the above, moral rights, know-how, trade secrets or any other intellectual or industrial property rights (and any licenses in connection with any of the same), whether or not registered or capable of registration, and whether subsisting in any specific country or countries or any other part of the world, in any computer programs, interfaces, platforms and links, whether in source code, object code or other form of software, which are used in order to provide the Services, shall belong exclusively to OurCart.
9. Limited Warranty
9.1 You hereby acknowledge the electronic nature of the Service and the inherent risk that communications by electronic means may not reach their intended destination or may do so much later than intended for reasons outside OurCart’s control.
9.2 Since OurCart does not control the reception or routing via Internet of the information provided by User, the configuration of your equipment or reliability of your connection, OurCart shall not be liable for any claims, losses, damages, costs or expenses, including attorneys’ fees, caused, directly or indirectly, by any breakdown or failure of any transmission or communication system or computer facility.
9.3 If performance by OurCart of any service or obligation under this Agreement is prevented, restricted, delayed or interfered with by reason of, inter alia, labor disputes, strikes, acts of God, fire, floods, lightning, earthquakes, severe weather, utility or communication failures, failures of any relevant bank or network, computer associated outages or delay in receiving electronic data, war, civil commotion, or any law, order or regulation, etc. having legal effect, then OurCart shall be excused from its performance hereunder to the extent of the prevention, restriction, delay or interference.
9.4 Except for the express warranties provided herein, Ourcart hereby specifically and explicitly disclaims any and all warranties of any type or nature whatsoever, including, without limitation (1) of suitability, completeness, timeliness, reliability or accuracy of any pricing information or the Service; (2) as to the availability of the Service; (3) any implied warranties of merchantability, fitness for a particular purpose, functionality, title or non infringement; or (4) that there are no viruses or other harmful components in any software used in connection with the supply of Service.
9.5 You assume all liability for your use of the Service and Ourcart assumes no liability your failure or any Brand’s failure to perform in accordance with this Agreement or any results caused by your or Brand’s acts, omissions or negligence, or for any claim for libel or slander or for violation of copyright, trademark or other intellectual property rights.
9.6 Notwithstanding any of the foregoing, Ourcart’s sole and exclusive liability under this Agreement, and the liability of any of its officers, directors, shareholders, employees or agents and your sole remedy under this Agreement, except for its fraudulent behavior or willful misconduct, shall be for direct damages caused as a direct result of a breach of this Agreement by Ourcart and in no event will it exceed the amount of US$ 10.
9.7 Notwithstanding anything to the contrary in this Agreement, in no event shall Ourcart be liable in contract, tort (including for negligence) or under any other legal theory for any consequential, indirect, incidental, punitive or special damage or loss of any kind, including without limitation loss of business, profits, revenue, contracts or anticipated savings, even if such damages or losses are foreseeable or if Ourcart has been advised of their possibility.
10. Term and Termination
10.1 This Agreement shall come into force between you and Ourcart on the date hereof and shall remain in full force and effect for as long as you use the Service.
10.2 Without derogating from the above, any party to this Agreement may terminate this Agreement at any time. You can do so by simply ceasing usage of the Service, and Ourcart may do so at any time by notifying you of such termination and ceasing to allow you to use the Service.
11. Personal Data Privacy Obligations
11.1 OurCart may access your data in connection with performing the Service. OurCart may have access to your data which may include Personal Data as defined by the EU General Data Protection Regulation (GDPR) (EU) 2016/679 or any other privacy laws.
You hereby irrevocably submit to the exclusive jurisdiction of the Courts of Tel-Aviv - Jaffa, Israel, for the purposes of hearing and determining any dispute arising out of this Agreement or in connection with the Service.
This Agreement and all matters arising from it and any dispute resolutions referred to above shall be governed by and construed in accordance with the laws of the state of Israel notwithstanding the conflict of law provisions and other mandatory legal provisions.

3. Personal data that we use
3.1 Some information may be mandatory to be provided by you to us, as part of the Service, and some information may have been collected by us during the Service. The types of data that we may receive, collect, store and process may include your:
3.1.1 Personal Data – such as: Name, Address, Email address, Phone number, ID number, IP address, age, gender, country, preferred language, Financial Data, Location data, cookies, your shopping list, etc.
3.1.2 Media Data: your receipt snapshot.
3.1.3 Device and Usage Data: We may also collect information on how the Service and Website are accessed and used ("Usage Data"). This Usage Data may include information such as your computer's or device IP address, device ID number, browser type or version, which Service pages you visit, the time and date of your visit, the time spent on those pages, unique device identifiers, and other diagnostic data.
4. How we use the personal data
4.1 Performing our Services: your receipt snapshots and any usage data of any mobile application provided by you, are used to perform our Services (i.e. receipt analysis, processing etc.). Furthermore, we provide our customers or the Brands, whose receipts were uploaded by you, with your Personal Data.
4.2 Access and Use: Any Personal Data provided to us by you in order to obtain access to any functionality of our services may be used by us in order to provide you with access to the needed functionality and to monitor your use of such functionality.
4.4 Specific Purpose: If you provide Personal Data for a specific purpose, OurCart may use said Personal Data in connection with the purpose for which it was provided. For instance, if you contact OurCart by email, we will use the Personal Data you provide to answer your question or resolve your problem and will respond to the email address used to contact us; or if you upload a receipt for which you may be entitled to certain benefits or credits from one or more of our customers, we will share your Personal Data with such customers.
4.5 Marketing: We may use any Personal Data you provide us with to contact you in the future for our marketing and advertising purposes, including, without limitation, to inform you about new services we believe might be of interest to you, and to develop promotional or marketing materials and provide those materials to you.

4.6 Statistics: We may use any Personal Data you provide us with to generate statistical reports containing aggregated information, which may also sell to third parties. We may also share or market aggregated data, including data derived from your usage and your Personal data, for market research purposes.
4.7 Security and Dispute Resolution: We may use Personal Data to protect the security of our Website and Service, to detect and prevent cyber attacks, fraud, phishing, identity theft, and data leaks, to verify genuine software licenses, to resolve disputes, and to protect against and enforce our Terms of Service or other contracts.
4.10 Cloud Services: We may need to share Personal Data with our cloud service. For example, assist in protecting and securing our Website or Service the cloud service admin may need access to Personal Data to provide those functions. In such cases, the cloud service provider must abide by our data privacy and security requirements and is not allowed to use Personal Data they receive from us for any other purpose.
4.11 Development and Customer Service: For example, to provide customer service and support or assist in protecting and securing our systems and services our development and customer service team may require access to Personal Data. In such cases, our personnel must abide by our data privacy and security requirements and policy and are not allowed to use Personal Data for any other purpose.
4.13 Law Enforcement: In order to, for example, respond to a subpoena or request from law enforcement, a court or a government agency (including in response to public authorities to meet national security or enforcement requirements), or in the good faith belief that such action is necessary to (a) comply with a legal obligation, (b) protect or defend our rights, interests or property or that of third parties, (c) prevent or investigate possible wrongdoing in connection with the Services, (d) act in urgent circumstances to protect the personal safety of Users of the Website and Services or the public, or (e) protect against legal liability.

4.15 Non-Personal Data: Since Non-Personal Data cannot be used to identify you in person, we may use such data in any way permitted by law.
5. How We Store and Transfer Information
5.1 We have no intention to transfer data to third-party countries. Therefore, we try to store Personal data at the same region where it was collected:
5.1.1 Where Personal Data is collected within the EU jurisdiction, we store the data including its backups at AWS-UK region.
5.1.2 Where Personal Data is collected outside the EU jurisdiction and/or the data process by suppliers outside the EU jurisdiction, we store the collected or received data including its backups at AWS-US cloud services in us- east region.
5.1.3 The Amazon Cloud Services is comply with the GDPR and is ISO 27001, 27017,27018 certified (for AWS full statement see https://aws.amazon.com/blogs/security/all-aws-services-gdpr-ready/).
5.1.4 Furthermore, AWS is certified under the EU-US Privacy Shield (For more information see: https://aws.amazon.com/compliance/eu-us-privacy-shield-faq/).
5.2 To deliver our services and/or operate our business, Information, which may include Personal Data, may be processed by our third-party service providers (“Suppliers”) (e.g. business analytic tools, customer service software & support ticket system, goods providers, survey conducting services, image analysis providers etc.). We transfer only the data that is necessary for conducting our Service. The data is transferred only to suppliers approved by us that allow compliance with GDPR or other local privacy laws.
5.3 Personal Data may be transferred, stored, and processed in countries outside the EU or European Economic Area (EEA). Such transfer to third-party countries may include countries that do not guarantee an adequate level of data protection laws as required under EU privacy laws. We implement a high level of information security techniques and technical measures and/or third-party contractual obligations to ensure that their information security level matches that implemented by us.
5.4 We may transfer Personal Data to Israel – where we maintain our headquarters. The EU considers Israel to have an adequate data protection law.
6. Personal Data Security
6.1 We are strongly committed to protecting your Personal Data and information, and we will take reasonable technical steps, accepted in our industry, to keep your Information secure and protect it against loss, misuse or modification.
